Braylo SI Terms
Effective date: October 28, 2026 · Last updated: October 28, 2026
Quick summary. This summary is here to help you. If it differs from the full Terms below, the full Terms control.
- Agent Infrastructure Install: $497, one-time. We set up the AI agents, connectors and routines listed in your written audit, in your own accounts. Your choice: do it yourself with the instructions in your audit, or have us set it up (Section 4). There is no money-back guarantee, except for written promises made before these Terms took effect (Section 4). Optional weekly plans (Basic, Pro and VIP) are separate and cancel with one week's notice (Section 5).
- Fast start. After you pay, we email you a short access checklist based on your signed audit. Give us the access within 3 business days, and we set up, test and hand over everything in the audit within 14 days of receiving it (Section 4). You keep ownership of your accounts, and we remove our access at handoff (Section 9).
- AI helps us do the install, and that's always disclosed. We don't promise leads, sales, revenue or savings.
1. Who we are, who you are, and how you agree
- "We," "us": Braylo SI (mailing address in Section 18). Contact: [email protected]. Braylo SI is a business name. It isn't a separate company.
- "You": the business that buys Agent Infrastructure Install. Agent Infrastructure Install is for businesses only, not for personal, family or household use. The person who checks out confirms that they're at least 18 and are authorized to bind the business.
- How you agree: you book a free 20-minute Discoverability Audit call on our homepage. If it's a fit, we email you a payment link after the call. You accept these Terms when you pay. Our Privacy Policy (/privacy.html) also applies.
- Email is how we communicate. You agree that we can send you contracts, receipts, notices, your audit, install handoff and reminders by email, to the address you gave us when you booked your call or a newer one you give us in writing. Send notices to us at [email protected].
2. What you buy
- Price: Agent Infrastructure Install costs $497 USD, one-time, and the price is the same for every client. If it's a fit, we email you a payment link after your free call. If any tax applies, it's shown on that payment page.
- What it is: a live, done-for-you install. We set up, in your own accounts, every item listed in the free Discoverability Audit you signed (the "Audit Items"), such as AI agents, connectors, routines, lead capture and replies, follow-up sequences and Grok Voice call handling. Each Audit Item is set up, tested and handed over to you within 14 calendar days after we receive the access we need (Section 4).
- What it isn't: Agent Infrastructure Install doesn't include items not in your signed audit (unless we both agree in writing); your SuperGrok, xAI or other tool subscriptions; platform fees or ad spend; messages or calls to your leads from our own accounts; SMS without consent; custom code; websites; ongoing management after handoff (that's the optional weekly plans in Section 5); or legal, tax, medical or financial advice.
- Where your agents run: your agents run in your own accounts: your Grok Bot, your xAI account and the tools you connect. If your plan includes Grok Voice, it answers inbound calls by default. On request, it can also place follow-up and reminder calls, but only to people who gave prior written consent, and each call names your business and offers an opt-out. It never makes cold calls or leaves AI voicemails (Section 8). Email follow-ups are sent from your own accounts, with your approval. Texting stays off until it's set up with consent.
- Stalled orders: if you haven't given us the access we need within 30 days of payment, we'll email you a reminder. If it still hasn't arrived 14 days after that reminder, we may close the order and refund you under Section 14.
3. What you need to do
- Complete the access checklist (the short checklist we email you after you pay, based on your signed audit). "Complete" means every requested access is given.
- Be accurate: your answers are the basis of the install. Tell us promptly if something changes.
- Don't send regulated data: no PHI, trust-account or case files, or financial account numbers. Never send passwords by plain email; share access only as Section 9 describes. If any reaches us by mistake, we delete it and tell you.
- Your decisions: you decide how you use the installed agents. You're responsible for your own legal duties as a business, including privacy notices, consent on your own forms, licensing, ad claims and your industry's rules.
4. Setup timeline, no money-back guarantee, and earlier promises
Your choice: do it yourself with the instructions in your audit, or have us set it up for you. Agent Infrastructure Install does not come with a money-back guarantee.
- Timeline: we set up every Audit Item within 14 calendar days after we receive all the access you need to give us (the "Setup Deadline").
- What "set up" means: an Audit Item counts as set up when it is (a) live in your accounts, (b) tested by us with the test result sent to you, and (c) handed over to you, with you holding owner or admin access to it.
- Your part: Give us the access we ask for, in the way Section 9 describes, within 3 business days of our request. The timeline pauses while we're waiting on you. We aren't responsible for delays you cause, or for an Audit Item that a third-party platform rejects, suspends or won't allow (for example ad accounts, phone carriers or app reviews), provided we told you about it in writing. Platform fees and ad spend are paid directly to those platforms.
- If something is missed: email [email protected] with "Install follow-up" in the subject within 30 days after the Setup Deadline, and list the Audit Items that aren't set up. We'll finish them within 7 days at no extra charge. This is a promise to finish the work, not a refund; refunds are only those listed in Section 14.
- Earlier written promises are honored: if, before the effective date of these Terms, we promised you a guarantee or refund in writing (for example in an email, proposal, SOW or an earlier version of these Terms), we honor it on its original terms, including its time limits and conditions. These Terms don't shorten or cancel it. For orders placed under an earlier version of these Terms, the install guarantee in that version still applies to that order.
- No results promised: the install doesn't promise leads, sales, revenue or other results (Section 12).
5. Weekly plans: Basic, Pro and VIP (optional, later)
- Basic ($500/wk, Autonomous Ads Campaign). Pro ($1,500/wk, Inbound Closing Engine): ads plus a voice agent and a private AI call center. VIP ($2,000/wk, Subcontractor Coordination). None is required, and none is part of the $497 one-time Agent Infrastructure Install. Each is a separate weekly plan with its own written terms, which you'll see and accept before you're billed. Weekly plans cancel with one week's notice.
- Weekly billing and cancellation. Plans are billed weekly in advance. You can cancel with one week's written notice to [email protected], and the plan ends at the end of the next paid week. We don't prorate the current paid week, and we don't refund weekly fees you've already paid. Ad spend you pay to ad platforms (for example Meta or Google) can't be refunded by us.
- Ad spend is separate. You pay at least about $500 a week in ad spend (about $2,000 a month) directly to the ad platforms. This is separate from, and in addition to, your plan fee.
- The new-client number is a target, not a guarantee. Your first 60 days are a baseline with no target. After that, we set a new-client target from your own measured numbers and check it over a rolling 13-week (90-day) window. If we miss the target, your next 1 week of plan fees is waived (a "free week"). On VIP, that free week is delivered at Pro level. There's no cash refund, and you can get at most 4 free weeks in any 12 months. A free week applies only if, in every week of the window, you funded the agreed ad spend, posted (or approved for posting) the ads we delivered, answered your leads (or kept our automatic lead reply on), logged your wins, and kept your account paid up.
6. Your materials and indemnity
- Your materials: you confirm that the information and materials you give us (logos, photos, text, numbers) are accurate to the best of your knowledge and yours to share.
- Your indemnity: you'll defend and cover us against third-party claims, fines and reasonable costs (including reasonable legal fees) that come from your materials, from how you use the installed agents, or from your breach of these Terms.
- Our indemnity: we'll defend and cover you against third-party claims, fines and reasonable costs that come from (a) our breach of Section 9 (data), or (b) a claim that the Audit Items we set up infringe someone's intellectual property. Item (b) doesn't apply to your materials, to third-party tools or their output, or to changes made by anyone other than us.
- How it works: the party seeking cover tells the other promptly, lets them control the defense, and cooperates. Neither party settles a claim in a way that admits fault for the other without the other's written OK.
7. Acceptable use
- We won't plan anything unlawful or deceptive. That includes unsolicited or purchased-list messaging, texts or AI-voice calls without the consent the law requires, fake reviews or testimonials, and AI-generated people presented as real customers, employees or endorsers.
- If an order asks for that, we can decline or end it, and you get a full refund under Section 14.
8. AI disclosure and phone calls
- AI-assisted install: we use AI tools to help set up the Audit Items, and a person reviews and tests each one before handoff. AI output can contain mistakes, so check the Audit Items before relying on them.
- Recommendations about AI: wherever an Audit Item uses automated or AI replies, we recommend disclosing them as AI, with your business name, postal address and an opt-out line.
- Phone calls. If your plan includes Grok Voice, it answers inbound calls to your business number with an AI voice agent. It places outbound calls only if you ask us to set up follow-up or reminder calls, and only to people who gave prior written consent; each such call names your business and offers an opt-out. It never makes cold calls or leaves AI voicemails. Each call starts with a spoken notice that the caller is talking to an AI assistant and that the call is recorded and transcribed. Recordings and transcripts are stored in your own xAI account and the tools you connect, and you control them. Callers who don't want to be recorded can hang up at any time. You own your xAI account and phone number, and you pay xAI directly for usage. You are responsible for any call-recording consent your state requires and for how you use recordings. We do not clone voices.
9. Data and privacy
- Access to your accounts: to set up the Audit Items, we need access to some of your accounts. We ask only for the least access each Audit Item needs (for example, a collaborator, team-member or admin seat, or a connector you authorize), and we prefer invites to our own user over shared passwords. Never send passwords, bank or payment keys by plain email; we'll tell you a secure way to share access. You keep ownership of every account, phone number, connector and piece of data; we never become an owner. We use access only to set up, test and hand over the Audit Items (Section 4). At handoff, we remove our access or return it to you, transfer any credentials we created to you, and confirm in writing; you can revoke our access at any time (revoking it before handoff pauses the Section 4 timeline). If your plan includes Grok Voice, the xAI account and phone number are in your name and you pay for them directly.
- Third-party platforms: your accounts stay under each platform's own terms. We aren't liable for what a platform does, such as suspending, limiting, rejecting or changing an account, feature, ad, number or app review, or changing its prices or rules, unless our breach of these Terms caused it.
- Your data: we use the data we see during the install only to set up, test and hand over the Audit Items and to offer the optional plans in Section 5. We don't sell or share it, except with the tools used for the install (under their terms) or where the law requires it.
- AI tools: the data we see during the install may be processed by the AI tools we use for the install. We use tools whose terms allow commercial use, and we don't put regulated data into them (Section 3).
- Security incidents: if a security incident affects your data, we'll tell you without undue delay.
- Deletion: we delete your data we received during the install within 90 days of handoff unless you become a Pro or VIP client or the law requires us to keep it. We keep a copy of your signed audit, test results and handoff log for up to 4 years as service and dispute records, and to honor any earlier written promise under Section 4. Billing records are kept as our Privacy Policy describes.
- Privacy Policy: the details are in our Privacy Policy at /privacy.html.
10. Ownership and license
- What's yours: your content, data and brand stay yours. Once you've paid, you own the Audit Items we set up specifically for you, and we transfer to you any rights we have in them. Some AI-generated material may not be protected by copyright, so we transfer whatever rights exist.
- What's ours: we keep our know-how, our general prompts, methods, templates and tools, and anything we made before or outside your order. We give you a permanent, non-exclusive, royalty-free license to use the parts built into your Audit Items in your own business. You can't resell the install or our template as a standalone product.
- Third-party tools used in the install stay under their own terms and prices.
- Our portfolio: we won't show your install, name or results anywhere without your written consent (Section 11).
11. Case studies and reviews
- We'll only feature you, your results or your name with your written consent. It's optional and never a condition of the price.
- We never ask for a positive review, never pay for or reward reviews, and never publish income claims. If we ever give you anything connected to a case study, we'll disclose it wherever the case study appears.
12. No other promises (disclaimer)
Apart from the promises in Section 4 and the refunds in Section 14, we provide Agent Infrastructure Install with reasonable care and skill and otherwise "as is." To the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. The install is not a promise of any result. We don't promise leads, bookings, sales, revenue, ad performance, savings, time saved or income. Results depend on your market, offer, budget and follow-through. Tool costs are estimates and can change.
13. Limitation of liability
- Cap: to the extent the law allows, our total liability for anything related to Agent Infrastructure Install is capped at the fees you paid us for it (one-time, $497).
- No indirect losses: neither of us is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if warned they were possible.
- Exceptions: the cap and the exclusion don't apply to your payment duties, your indemnity in Section 6, fraud, gross negligence or willful misconduct, or liability that the law doesn't allow to be limited.
14. Payments, refunds and chargebacks
- Refunds (all refunds are in this section): the Agent Infrastructure Install fee is refunded in full, to your original payment method, only in these cases:
(a) Earlier written promise: a guarantee or refund we promised you in writing before the effective date of these Terms, honored on its original terms under Section 4 (paid within 10 business days unless that promise says otherwise);
(b) Cancel before we start: you email us before you give us any access, or before we start setting up, whichever is first (paid within 7 days);
(c) Stalled order closed under Section 2 (paid within 7 days);
(d) Declined order under Section 7 (paid within 7 days); or
(e) where the law requires it.
Otherwise the fee isn't refundable once setup has started. These refunds don't cover leads, sales, revenue or other results, or platform fees and ad spend paid to third parties. - Contact us before you file a chargeback. Most issues, including the refunds in this section, are faster through us.
- If you file a dispute, we may share the signed audit, test results and handoff log, your checkout consent and these Terms with your bank or our payment processor. If a dispute is decided in your favor, we won't also refund the same charge under this section.
15. Disputes and governing law
- Talk to us first. Email [email protected] with a short description and what you want, and give us 15 business days to fix it. Neither of us will start a lawsuit during that time, except to stop an urgent harm or keep a deadline from running out.
- Governing law: these Terms are governed by Delaware law, without regard to conflict-of-law rules.
- Where disputes go: the state or federal courts in New Castle County, Delaware, or small claims in the client's county for claims under $25,000. There's no arbitration requirement. Nothing here limits rights that the law doesn't allow a contract to waive.
16. Delays beyond control
- Neither of us is liable for a delay or failure caused by events beyond reasonable control, such as natural disasters or power or internet failures. The affected party tells the other promptly and resumes as soon as it can. This section doesn't reduce any refund owed under Section 14 or any earlier written promise honored under Section 4.
17. General
- Changes: we may update these Terms for future purchases and post them here with a new "Last updated" date. Changes don't affect an Agent Infrastructure Install you've already bought.
- Relationship: we're an independent contractor. Neither of us is the other's employee, partner or agent.
- Transfer: you can't transfer these Terms without our written consent. We may transfer them to a business that takes over Braylo SI, including a company we form, and we'll email you if we do.
- Whole agreement: these Terms, the Privacy Policy, your booking and any written proposal we send you, and your signed audit and your payment are the whole agreement for Agent Infrastructure Install. They replace earlier statements about it, including earlier versions of it. If these Terms conflict with our landing page, a summary, or our general Terms of Service, these Terms control.
- Translations: if we give you a translation or a translated summary (for example in Spanish), the English Terms control.
- Severability and waiver: if any part is unenforceable, it's limited to the minimum extent needed and the rest still applies. Not enforcing a term isn't a waiver of it.
